Terms and Conditions of Service

These Terms and Conditions ("Terms") govern the provision of video editing services by The Waterhouse Edit (referred to as the “Provider”, “we”, “us”, or “our”) to the client (referred to as the “Client”, “you”, or “your”).

By instructing us to commence work, you agree to be bound by these Terms.

1. Scope of Work

• 1.1 The specific details of the video editing services (the "Services"), including deliverables, timelines, and fees, will be agreed upon in writing (via email or a formal quote) prior to the commencement of any work.

• 1.2 Any requests for additional work outside the agreed scope will be subject to additional charges, which will be communicated and agreed upon before proceeding.

2. Client Responsibilities & Clearances

• 2.1 The Client agrees to provide all necessary video footage, audio, graphics, and instructions required for us to perform the Services in a timely manner.

• 2.2 Copyright and Clearances: The Client guarantees that they own the copyright or have obtained all necessary licenses, permissions, and clearances for any raw footage, music, images, or other media supplied to us for use in the project.

• 2.3 We accept no liability for any copyright infringement or legal disputes arising from media provided by the Client. The Client agrees to indemnify the Provider against any claims or costs arising from the use of such media.

3. Fees and Payment

• 3.1 Payment Method: All payments must be made via BACS (bank transfer) to the bank account details provided on our invoices. We do not accept online payments, credit cards, or cheques.

• 3.2 Deposit: We may require a non-refundable deposit of the total project fee before commencing work. The exact deposit amount will be stated in your quote.

• 3.3 Payment Terms: Final invoices will be quoted before commencement of services. Invoices are strictly payable within 30 days of the invoice date.
  3.4 Service Delivery: Delivery of services will be received once full amount of monies has been paid.

• 3.5 Late Payments: Late Payments may incur a cost of 10% fee at the discretion of the Provider

4. Revisions and Amendments

• 4.1 The agreed project fee includes rounds of reasonable revisions, provided the revision requests do not deviate from the original project brief.

• 4.2 Additional rounds of revisions, or revisions that require a significant departure from the original brief, will be billed at discretion of the provider.

5. Delivery and Archiving

• 5.1 Delivery: Final videos and project files will be delivered digitally via a secure file-transfer link.

• 5.2 Project Files: As part of the agreed deliverables, we will supply the raw editing project files. We do not provide the software required to open these files.the 

• 5.3 Archiving: As outlined in our Privacy Policy, we will securely store raw footage and project files for a period of 6 Months following project completion. After this period, files may be permanently deleted from our systems. It is the Client's responsibility to safely back up their final deliverables and project files once received.

6. Copyright and Intellectual Property

• 6.1 Ownership: The Provider retains the intellectual property rights and copyright to the completed video(s) and project files until the final invoice has been paid in full. Upon receipt of full payment, the copyright and ownership of the final edited video and the provided project files transfer entirely to the Client.

• 6.2 Promotional Rights: We respect the confidentiality of your projects. We will only use extracts from the completed project in our professional portfolio, website, or social media channels for self-promotional purposes if we have requested and received your explicit prior written consent to do so. 

7. Data Protection

• 7.1 We process your personal data (Names, Contact Details, and Video Footage) strictly in accordance with our Privacy Policy and UK data protection laws (UK GDPR).

8. Liability

• 8.1 Our total liability to the Client for any claim arising out of or in connection with these Terms, whether in contract, tort (including negligence), or otherwise, shall not exceed the total fees paid by the Client for the specific project in question.

• 8.2 We shall not be liable for any indirect, consequential, or special losses, including but not limited to loss of profits, loss of business, or loss of data.

9. Cancellation and Termination

• 9.1 If the Client cancels the project after work has commenced, the Provider reserves the right to charge for the time spent and work completed up to the date of cancellation. Any deposit paid is non-refundable.

• 9.2 We may terminate this agreement immediately if the Client fails to pay any amount due on the due date or commits a material breach of these Terms.
